Methods for the Collection and Management of Membership Dues of the International Mountain Tourism Alliance

(The 2022 Amendments )

Article 1

To raise the working funds of the International Mountain Tourism Alliance (IMTA), ensure orderly operation of the IMTA, and regulate the collection and management of membership dues, these Methods are formulated in accordance with the relevant laws and regulations of the country where the IMTA headquarters is located (the People’s Republic of China) and the Statutes of the International Mountain Tourism Alliance.

Article 2

Membership dues is an important source of funding for the IMTA and an important guarantee for maintaining the work of the IMTA. Paying membership dues is not only a legal obligation of members, but also an act of responsibility. Members should conscientiously fulfill their obligations.

Article 3

Membership dues shall be uniformly collected by the treasurer of the IMTA Secretariat according to membership categories and payment standards. Individual members of the IMTA are exempted from membership dues. Membership dues shall be collected according to the following standards: the average member pays US$1,000 per year and the Council member pays US$2,000 per year. To facilitate the membership dues payment of members in China where the IMTA is registered, Chinese members are allowed to pay their membership dues in RMB with the amount equivalent to US dollars converted at the spot selling price released by the Bank of China on January 1 of each year (the specific exchange rate shall be determined by the notice of membership dues collection).

Article 4

Organizations and individuals making significant contribution to the development of the IMTA and with outstanding leadership, appeal and influence in the industry and related fields may receive emeritus chairmanship and emeritus vice chairmanship from the IMTA without paying membership dues.

Article 5

1.Rights of members

(1) Right to attend, address, vote and make proposals at the General Assembly;

(2) Right to elect and stand for election for the Council members;

(3) Right to take part in the General Assembly and other IMTA activities;

(4) Right to make suggestions on and supervise the annual conference and other activities of the IMTA;

(5) Right to use the trade data information provided by the IMTA upon authorization;

(6) Priority right to apply for organizing or supporting IMTA activities;

(7) Right to use the logo of “International Mountain Tourism Alliance” in the capacity of IMTA member;

(8) Entitlement to the preferential treatments of the IMTA;

(9) Other rights granted by the Council.

2.Rights of council members

In addition to the rights enjoyed by all members as prescribed in the above-mentioned paragraph 1, the Council members shall also enjoy the following rights:

(1)Right to carry out the decisions of the General Assembly;

(2) Right to take part in the Council’s work of electing and dismissing the Chairman, Vice Chairman and Secretary-General;

(3) Right to take part in the Council’s work of admitting new members, and decision on the withdrawal and termination of memberships;

(4) Right to take part in the Council’s decision on the establishment of executive agencies, branch agencies and representative agencies;

(5) Right to take part in the deliberation of the agenda of the General Assembly, and the annual work report and annual budget and final account report of the IMTA;

(6) Right to take part in the Council’s decision on the appointment of Deputy Secretaries-General and agency principals;

(7) Right to take part in the deliberation of the internal rules of the IMTA;

(8) Other rights granted by the Council and the General Assembly.

3. Rights of emeritus chairman and emeritus vice chairman

In addition to the rights enjoyed by all members as prescribed in the above-mentioned paragraph 1, emeritus chairman and emeritus vice chairman shall also enjoy the following rights during their membership period:

(1) Right to priority and VIP treatment in all IMTA activities;

(2) Right to make use of the official website, WeChat page and news releases of the IMTA for publicity purposes;

(3) Right to conduct publicity and promotion in the form of exhibition boards during IMTA activities;

(4) Right to have the opportunity to deliver addresses or keynote speeches on the occasion of IMTA activities;

(5) Right to participate in relevant activities on behalf of the IMTA and conduct publicity in the name of IMTA emeritus chairman and emeritus vice chairman;

(6) Other rights granted by the Council and the General Assembly.

Article 6

Obligations of members

1. Abide by the IMTA Statutes and resolutions of the General Assembly and Council;

2. Safeguard the lawful rights and interests of the IMTA;

3. Pay membership dues according to the relevant IMTA regulations;

4. Submit to the IMTA valid and reliable materials and information;

5. Other relevant obligations prescribed by the IMTA.

Article 7

Payment of membership dues

1.The members shall pay the annual membership dues prior to June 30 each year. New members shall pay the annual membership dues within 15 working days after receiving the notice of admission.

2.The membership dues shall be remitted to the IMTA account prior to June 30 each year.

Article 8

Collection and management of membership dues

1.The membership dues collected by the IMTA are the common property of the IMTA and shall be managed in accordance with the relevant regulations of the countries and administrative departments where the IMTA headquarters is located (The People’s Republic of China). No institution or individual may encroach on, privately distribute or misappropriate the membership dues.

2. The IMTA shall establish an independent account with full-time financial personnel, managed in accordance with the laws of the country where the IMTA headquarters is located (The People’s Republic of China) and the Rules of Financial Management and Salary Management of the International Mountain Tourism Alliance, and subject to the supervision of the members and the supervision of the administrative departments.

3. The membership dues shall be collected, paid, used and managed in accordance with the Statutes of the International Mountain Tourism Alliance and these Methods.

4. The IMTA Secretariat shall be responsible for formulating the plan for the collection and expenditure of membership dues, and making the budget for the work of the next year, which shall be implemented after the adoption at the Council meeting.

5. According to the needs of the IMTA’s work, the Secretary-General may authorize the Secretariat to oversee the implementation of the relevant budget.

6. Items of expenditure for the IMTA:

(1) Expenditure on daily expenditure of the IMTA;

(2) Expenditure on travel expenses, conference fees, business reception fees and taxes;

(3) Expenditure on the international or domestic conferences and activities convened or attended in the name of the IMTA;

(4) Expenditure on fixed assets, intangible assets, services and other procurement projects;

(5) Expenditure on financing-related expenditure such as loan payment and interest payment;

(6) Expenditure on donation or assistance fund;

(7) Expenditure on research, business training and external publicity;

(8) Expenditure on the development and maintenance of the IMTA website;

(9) Other expenses related to the IMTA’s business.

The collection and expenditure of membership dues shall be in strict compliance with the provisions of the Accounting Law of the country where the IMTA headquarters is located (The People’s Republic of China), and arbitrary fees shall be strictly prohibited. The budgetary expenditure is strictly implemented in accordance with the internal financial management rules of the IMTA.

Article 9

Supplementary provisions

1. Paying membership dues is an obligation of the members. Those who fail to pay membership dues for two consecutive years without special reasons shall have their membership canceled in accordance with rules and the decision shall be circulated to all members.

2. Following members shall be exempted from membership dues:

(1) Members who are approved as non-profit social organizations shall be exempted from membership dues.

(2) Members who fund or co-host large activities with the IMTA shall be exempted from the membership dues for the year in which the activity is held.

(3) According to the development needs of the IMTA, the IMTA shall waive the annual membership dues for members who assist the IMTA in carrying out annual key business with their own unique core resources (except for those who undertake the IMTA's outsourcing service projects).

3. Disposition of other special circumstances:

(1) For members who are unable to carry out their business normally as a result of force majeure factors including serious natural disasters, epidemics, war and the likes, they may be granted a reduction or exemption of membership dues for the current year upon official notification by the IMTA Secretariat.

(2) For members whose legal entity has changed due to the reorganization of the original member units, the newly registered legal entity may submit an application, which will be reported by the IMTA Secretariat for consideration and approval by the IMTA Council Meeting to renew their IMTA membership and pay the membership dues for the current year.

(3) For the original member units that cannot fulfill their obligations to pay membership dues due to the cancellation of their units, it shall be reported by the IMTA Secretariat for determination by the IMTA Council Meeting to waive their membership dues for the current year and terminate their membership.

(4) These Methods, which are adopted by voting at the Second General Assembly of the IMTA on 27 December 2022, shall come into effect on the date of adoption.
